*Remuneration Policy for the Highest Governance Body and Senior Executives:

① Fixed and Variable Remuneration: The remuneration of Studio Dragon's directors is categorized into earned income, retirement income, and other income. Earned income primarily comprises base salary, bonuses, and gains from the exercise of stock options. Bonuses are determined and distributed based on CJ Group's and the Company's remuneration policies and compensation limits, comprehensively evaluating quantitative financial indicators (such as revenue, operating profit, and content performance) and qualitative non-financial indicators.

  • In 2025, the total remuneration paid to two registered directors (excluding outside directors and audit committee members) was KRW 686,361,000, with an average remuneration of KRW 343,180,000 per director.

② Retirement Benefits and Pensions: The Company operates a Defined Benefit (DB) retirement pension plan for its executives. The retirement benefit is calculated by multiplying the average monthly remuneration by the length of service and the specific payout rate designated for each executive rank.

Approach to tax

Ethics & Compliance > Strategy

*Approach to Tax

Grounded in Integrity—one of the core CJ Group Codes of Conduct—Studio Dragon strictly complies with all tax laws and relevant regulations, faithfully files and pays taxes, and maintains transparent relationships with tax authorities.

In accordance with the OECD's Base Erosion and Profit Shifting (BEPS) Action Plan, international transactions between the headquarters and its subsidiaries (related parties) are conducted based on the arm's length principle, adhering to the tax laws of each respective country and bilateral tax treaties. Based on these regulations, when transaction volumes with overseas affiliates exceed statutory thresholds, Studio Dragon prepares and submits the combined report on international transactions to the tax authorities.

Studio Dragon strictly prohibits the use of tax havens for tax avoidance purposes as well as the artificial transfer of transactions to low-effective-tax jurisdictions. To ensure tax transparency, the organization rigorously monitors all transaction activities through its internal accounting control system.

207-2

Tax governance, control, and risk management

Ethics & Compliance > Strategy
Ethics & Compliance > Risk Management

*Tax Control and Risk Management Framework

Studio Dragon reviews and complies with all relevant laws and institutions, including accounting standards (K-IFRS), tax laws, and the Fair Trade Act. To proactively identify and mitigate tax risks, the organization operates the Finance Team as its dedicated tax management body.

In addition, Studio Dragon receives continuous advisory services from external tax experts. For highly material tax issues—such as major mergers and acquisitions or corporate restructurings—the organization seeks advance rulings and official interpretations from tax authorities before proceeding. Furthermore, Studio Dragon embeds tax-related control items within its Internal Accounting Control System and periodically audits its control procedures and reporting mechanisms.

Corporate risk management is executed in strict accordance with policies approved by the Board of Directors. The Board reviews and ratifies documented policies for overall risk management, alongside specific guidelines governing fields such as foreign exchange risk, interest rate risk, credit risk, the use of derivative and non-derivative financial instruments, and investments exceeding liquidity limits.
